Electronic Signature Consumer Disclosure

Please read the information below regarding the terms and conditions of receiving documents, contracts, and disclosures electronically through the Arcaveli eSignature electronic signature system. If this information is to your satisfaction and you agree to the terms and conditions, please confirm your acceptance and agreement by checking the box "I Agree to the above Consumer Disclosure" on the signing page and selecting the "Sign document" button.

This disclosure is provided to you in compliance with the U.S. Electronic Signatures in Global and National Commerce Act (the "ESIGN Act", 15 U.S.C. § 7001 et seq.) and applicable state law (including the Uniform Electronic Transactions Act, "UETA"). It governs your consent to receive and sign records electronically through Arcaveli.

1. Scope of your consent

By accepting this disclosure on a given signing page, you consent to receive and sign — using electronic means — the specific contract, document, or disclosure presented to you on that page (each, a "Record"). Your consent applies to that Record only. You will be asked to consent again for any future Record sent to you through Arcaveli.

The party who sent you the Record (the "Sender") is the party with whom you are contracting. Arcaveli, Inc. is the technology provider operating the eSignature system; Arcaveli is not a party to the underlying agreement and does not review, draft, or take legal responsibility for the contents of any Record.

2. Paper copies

You have the right to receive a paper copy of any Record sent to you through the Arcaveli eSignature system, at no charge. To request a paper copy, contact the Sender directly using the email address shown at the top of your signing page. We are not in a position to mail paper copies on the Sender's behalf, but the Sender can print and mail you a copy at your request.

You may also use the Print button on the signing page at any time before signing or declining to print a copy for your own records. After you sign, the Sender retains the executed Record and can re-send it to you on request.

3. Withdrawing your consent

You may withdraw your consent to sign a particular Record electronically at any time before you sign by clicking the Decline button on the signing page. Declining cancels the request and notifies the Sender; no signature is recorded. There is no fee for declining.

If you have already signed a Record, your signature on that Record cannot be withdrawn through Arcaveli — it has already been delivered to the Sender as a binding electronic signature. Any rescission of the underlying agreement is between you and the Sender.

To withdraw consent for any future Records the Sender may attempt to send you, contact the Sender directly and ask them not to send further documents through electronic means.

4. Hardware and software requirements

To access, view, sign, and retain Records sent through the Arcaveli eSignature system you will need:

  • An internet connection capable of loading https://arcaveli.com.
  • A current web browser that supports modern HTML5, JavaScript, and the Web Crypto API. The latest two major versions of Google Chrome, Mozilla Firefox, Apple Safari, or Microsoft Edge are supported. Internet Explorer is not supported.
  • An input device (mouse, trackpad, or touchscreen) for drawing your signature, or the ability to type your name for the typed-signature option.
  • A device capable of storing or printing the Record — for example, the ability to save a PDF or print to a local printer.
  • A valid email address at which the Sender can reach you with the signing link and any post-signing copies.

If our minimum hardware or software requirements change in a way that creates a material risk that you would not be able to access or retain a Record, we will provide you with a revised disclosure and ask you to consent again before any further Record may be signed.

5. Updating your contact information

It is your responsibility to keep your email address current with the Sender. To update your email or other contact information, contact the Sender directly. Arcaveli does not maintain a separate signer-side account; the email address on your signing page is the address the Sender provided when initiating the request.

6. What we record when you sign

When you affirmatively sign a Record through the Arcaveli eSignature system, we record the following metadata as evidence that the signature was given by you and that you consented to this disclosure:

  • The date and time you accepted this disclosure (UTC).
  • The version of this disclosure that was displayed to you (shown above as "Version YYYY-MM-DD").
  • The IP address from which the signature was submitted.
  • The user-agent string of the browser used to sign.
  • The signature image (drawn or typed) you produced.

The signature image itself is encrypted to the Sender's RSA public key in your browser before it is transmitted, so Arcaveli stores only an opaque ciphertext envelope of your signature. Only the Sender can decrypt it. The metadata items above (timestamps, IP, user-agent, disclosure version) are stored as plaintext on Arcaveli's servers because they are evidence of the signing event itself, not the contents of the agreement. 7. Legal effect of your electronic signature

You agree that an electronic signature you apply to a Record through the Arcaveli eSignature system has the same legal effect as a handwritten signature on a paper document. You agree that the executed Record may be enforced against you, and that you will not contest the validity, enforceability, or admissibility of the Record solely on the basis that it was signed electronically.

Some categories of document are excluded from coverage under the ESIGN Act and similar state laws (including, for example, wills, codicils, testamentary trusts, and certain family-law instruments). You should consult your own counsel before using an electronic signature for any document of that nature. Arcaveli does not provide legal advice and makes no representation that an electronic signature is legally sufficient for any particular Record you are asked to sign.

8. No relationship of trust or representation

Arcaveli is the operator of the eSignature platform and is not your attorney, agent, or representative. Arcaveli has no role in negotiating, drafting, or interpreting the Record. Any questions about the substance of the Record — the parties, the obligations, the price, or the legal consequences of signing — should be directed to the Sender or to your own legal counsel before you sign.

9. Changes to this disclosure

We may revise this disclosure from time to time. Each version is identified by the version number and "Last updated" date at the top of this page, and the version in effect at the moment you sign is the version recorded against your signature. If a material change to this disclosure would affect your ability to continue using the Arcaveli eSignature system, you will be presented with the revised disclosure and asked to consent again before signing any further Record.
